Goulding J delivered the judgment at first instance. Facts United States and Canadian securities law requires registration of companies for share issues. In 1975 Rank Organisation Ltd, an entertainment company, decided to offer 20 million ordinary shares to the public, with a preference to existing Rank shareholders. This preference offer did was however extended to shareholders based in the United States and Canada including Mutual Life , because it was thought not to be in the company s interest to have to register there. Rank s articles of association stated that directors could allot, deal with or dispose of company shares on such terms as they think proper . But the American and Canadian shareholders they owned shares beneficially through nominee companies, who were defendants alongside Rank in the case were still unhappy. They said they had been discriminated against, and that was a breach of contract because s.20 of the Companies Act 1948 implied shareholders deserved equal treatment this is the oppression provision see now, s 994 unfair prejudice . Judgment Goulding J dismissed the shareholders complaint. He held s 20 did not create a term of the corporate contract that shareholders were to be treated equally in respect of a board resolution or for that matter a resolution of shareholders in general meeting . The duties of the directors were to exercise their powers to issue shares in good faith, bona fide in the interests of the company and exercise them fairly between shareholders not necessarily treat shareholders identically .     The New York Times Index is a printed reference work published since 1913 by The New York Times newspaper. It is intended to serve as a reference for accessing stories printed the previous year in the newspaper. It was created by publisher Adolph Simon Ochs , who wanted to compete with the New York Sun by offering a series of special features. The index, he believed, would be attractive to librarians and other researchers by making reliable source material widely available to the public. The index was the only one published by an American newspaper through at least the 1930s, and helped make the Times known to libraries and students nationwide as a primary source for research. Initially published quarterly, it was released in annual editions starting in 1930. In recent years, volumes of the index have been designated to cover specific months or weeks. Its publisher, Andrews McMeel Publishing Andrews & McMeel , decided to discontinue that almanac, with the final edition being the 1997 issue. John W. Wright, the editor of the Universal Almanac , owned the rights to its content. He approached The New York Times Company , who agreed with his idea of creating a new almanac with the newspaper s name on it. Penguin was then brought in as the publisher. Wright became the general editor of the NYTA , a position he continues as of 2008 to hold. The 1998 edition of the almanac included a good deal of information from the Universal Almanac , with some members of The Times news staff contributing articles about the major news events of the year, as well as the maps in the book. 2009 edition has 1,004 pages.
